This document sets out the Terms and Conditions which shall apply to the provision of all goods supplied by Upstandesk
1. A contract with the Terms and Conditions set out below comes into being when an order is placed with us and when we accept that order. These Terms and Conditions shall override any Terms and Conditions which you may propose unless agreed in writing by our duly authorised signatory before items are received for the performance of the services requested.
The prices invoiced will be those currently charged by the seller at the date of despatch. Although every effort is made to ensure the prices stated in the website are correct, should an error on price occur, and an order is placed, you will be informed and given the option of continuing the order at the correct price or cancelling the order. All prices are subject to VAT. All packing is non-returnable.
3. Payment Terms
3.1 Payment must be received for the whole price of the goods. Preferred payment method is by Credit/Debit Card. We take all standard credit cards.
3.2 All charges will be invoiced from the UK with the addition of VAT @ 20%,
3.3 You must notify us of any invoice or delivery note discrepancy within 7 days of receipt to enable corrective action to be taken as soon as possible.
4. Delivery Times
4.1 Times quoted are in good faith and shall be non-binding. The seller shall not be liable for any losses incurred by the buyer or any other person as a result of any delay in the delivery of the goods or any part of the order for any reason whatsoever.
4.2 Delivery of the goods will be made to the address given by you. It is your responsibility to make sure this is accurate.
4.3 Ownership of the goods will become yours when the goods have been dispatched to you.
4.4 Upstandesk reserve the right to make partial deliveries
5.1 We guarantee our furniture for a period of five years against any defects resulting from faulty materials or workmanship.
5.2 We guarantee our seating from 2 to 5 years against any defects resulting from faulty materials or workmanship, fair wear and tear excluded, and subject to appropriate use, care and maintenance. Please check on the product page what the Guarantee is.
6.1 All returns are accepted back for credit only with the express permission of Upstandesk, under certain circumstances we reserve the right to refuse returns.
6.2 Goods must be returned in their original packaging, unused, unassembled and in a resalable condition. A Credit shall not be given for damaged goods. The buyer will be responsible for the cost of returning the goods, which are at the risk of the buyer until receipt to Upstandesk. Proof of return delivery will remain with the buyer. We reserve the right to charge for incomplete returns, orders placed in error or not wanted
6.3 Any goods that have been made to order cannot be returned.
6.4 It is the customers’ responsibility to check that the goods ordered fit into the required space/position. Upstandesk.co.uk will not accept responsibility for goods ordered being returned for any of these reasons unless we agree in writing. In some circumstances, Floyds Office Equipment Ltd will alter/ replace goods to ensure they fit, but again, bespoke & made to order items cannot be returned, only altered or replaced, this can often incur extra cost to the client unless Floyds Office Equipment Ltd are at fault, then we would rectify the problem free of charge.
6.5 All sizes and measurements are approximate, and the finished goods, once manufactured can often alter slightly in their dimensions, the buyer will need to account for this when checking sizes etc, or ask for more accurate measurements.
6.6 Without prejudice to your statutory rights. Upstandesk.co.uk reserves the right to charge a minimum handling fee of 25% of the value of the goods for items returned when orders were placed in error or not wanted. This will be deducted from any refund given. Any damage to the Goods will be deducted from any refund given in addition to the minimum handling fee (if applicable) referred to above. We will refund the price of the Goods (if a refund is applicable) to you less any deductions in terms of the above clause once the Goods have been examined and within 30 days of their receipt from you by Upstandesk.co.uk or persons assigned by us.
7.1 These Terms and Conditions constitute a complete statement of all Terms and Conditions which shall apply to services provided by us and replace all previous written or oral terms and conditions.
7.2 These Terms and Conditions may be amended by us from time to time by sending amended Terms and Conditions to you which shall apply to all orders placed after you are deemed to have received the amended Terms and Conditions (which for these purposes shall be deemed to be two days after the date that they are posted to you). No other amendments or variations shall be valid unless signed by our authorized signatory.
7.3 Failure by either us or you to exercise any rights under these Terms and Conditions shall not constitute a waiver or forfeiture of such rights.
The construction validity and performance of these Terms and Conditions and any contract incorporating these Terms and Conditions shall be governed by the Laws of England and the English Courts shall have exclusive jurisdiction.
